Governing Law and Dispute Resolution. This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of laws principles. (a) Negotiation. In the event of any dispute, claim, or controversy arising out of or relating to this Agreement, or the breach, termination, enforcement, interpretation, or validity thereof, the parties shall first attempt in good faith to resolve the dispute through informal negotiations between authorized representatives. (b) Mediation. If the dispute is not resolved within thirty (30) days after one party notifies the other in writing of the dispute, either party may refer the matter to mediation administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Mediation Procedures, before resorting to arbitration. The mediation shall take place in Muskegon, Michigan. (c) Arbitration. If the dispute remains unresolved after mediation (or if mediation is not pursued), the dispute shall be resolved by binding arbitration administered by the AAA in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Muskegon, Michigan. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party shall bear its own costs and attorneys’ fees, except as otherwise awarded by the arbitrator. The parties agree that any arbitration shall be confidential. (d) Exceptions. Notwithstanding the foregoing, either party may seek provisional or interim relief (including injunctive relief) from a court of competent jurisdiction in the State of Michigan to protect its rights or property pending the outcome of negotiation, mediation, or arbitration.

1. Description of Service

Lakeshore Bin Care and Pressure Washing LLC provides mobile trash bin cleaning, sanitizing, and deodorizing services. We service residential and commercial properties throughout Muskegon and surrounding West Michigan counties. We utilize specialized high-pressure hot water equipment and advanced filtration of liquid industrial by-product (LIB), which is collected and disposed. The equipment has been inspected and is in compliance with EGLE of Michigan.

2. Service Plans and Billing

Service Frequency: We offer monthly subscriptions, quarterly subscriptions, and one-time cleanings.

Invoicing: We bill on a post-service basis. Your invoice will be sent electronically only after the scheduled cleaning job is fully completed.

Subscription Management: Monthly and quarterly plans are ongoing. You may cancel your subscription after the first 3 months. Two weeks notice is required via email.

3. Customer Responsibilities

To receive service, customers must meet the following conditions:

Empty Bins: Bins must be completely empty of all trash, loose garbage bags, animal waste, and large debris.
Placement: Bins must be placed at the curb or your designated pickup spot on your scheduled service day.
Clear Access: Bins must not be blocked by vehicles, snowbanks, closed gates and pets secured.

4. Weather, Holidays, and Schedule Adjustments

Michigan Weather: Extreme West Michigan winter weather, freezing temperatures, or severe storms may make operations unsafe.

Rescheduling: If your service day falls on a major holiday or is canceled due to bad weather, your service will automatically push to the following day or the next week. We will notify you via email or text regarding schedule changes.

5. Hazardous Materials & Refusal of Service

We comply with Muskegon-area local environmental and water runoff safety standards. We will refuse service and charge a fee if bins contain:

Wet paint, chemicals, flammable liquids, or motor oil.
Unbagged feces or heavy hazardous waste.
Yard waste, hot ashes, concrete, gravel, or construction materials.

6. Limitation of Liability

Pre-existing Damage: We are not liable for pre-existing damage to bins.

Stain & Odor Removal: We do not guarantee 100% removal of permanent stains (such as dried paint, resin, or glue) or deeply embedded, long-term odors.

Maximum Liability: Our total liability for any claim or damage is strictly limited to the dollar amount paid for that specific service visit.

7. Dry-Run Fees

If we arrive at your property and cannot service your bin due to customer error (e.g., bin contains trash, bin is locked, or bin was not brought to the curb), you will be charged a $15 dry-run fee to cover fuel and labor costs.
